Verb Technology Reinvents Itself with $558M Toncoin Treasury Pivot
Verb Technology raises $558M to adopt Toncoin as its primary treasury asset, rebranding as TON Strategy Co.
In a transformative move that underscores the rising institutional interest in blockchain assets, Nasdaq-listed Verb Technology Company has raised $558 million to implement a Toncoin-based treasury strategy. The initiative positions the firm to become the first publicly traded company to designate Toncoin (TON) as its primary treasury reserve asset.
Following the transaction's expected closure on August 7, the company will rebrand as TON Strategy Co. (TSC), signaling a new corporate identity aligned with the native token of The Open Network (TON) blockchain—an ecosystem integrated with the Telegram messenger platform.
“Telegram is the go-to platform for the global crypto community, and Toncoin powers its economy,” said Manuel Stotz, incoming Executive Chairman. “Permanent capital vehicles like TSC are ideal for holding TON, which offers both long-term appreciation and staking yield.”
The move is backed by a powerful coalition of more than 110 institutional and crypto-native investors. Led by Kingsway Capital, the PIPE (private investment in public equity) round includes support from heavyweights like Blockchain.com, Vy Capital, Ribbit Capital, Graticule Asset Management Asia (GAMA), Pantera Capital, Animoca Brands, ParaFi, CMCC Global, Kraken, and BitGo.
Once funds are deployed, the company expects to hold nearly 5% of Toncoin’s circulating market cap, becoming one of its largest institutional holders. The strategy centers on staking TON to generate consistent rewards, creating a self-sustaining treasury model based on yield rather than speculative appreciation alone.
Despite this dramatic pivot, Verb’s existing businesses—such as its AI-driven livestream commerce platform MARKET.live and the recently acquired LyveCom—will continue and expand. The integration of crypto-native strategies does not replace its operational focus but rather enhances its capital structure with blockchain efficiencies.

The announcement briefly impacted Toncoin’s price, which dipped 5% amid broader crypto market volatility. However, the long-term implications of having a publicly traded treasury reserve vehicle built on TON could mark a turning point for adoption and legitimacy.
By marrying traditional corporate structures with blockchain-native financial infrastructure, TON Strategy Co. could offer a blueprint for the next evolution in corporate treasury management.
