tZERO to Go Public via $350 Million SPAC Merger With FG Imperii
tZERO will go public by merging with FG Imperii Acquisition Corp. at a $350 million pre-money valuation. The combined firm is expected to list on NYSE American as TZRO, with 1.25 million escrowed shares tied to CFTC derivatives milestones and closing expected in early 2027.
tZERO, the tokenization infrastructure firm, is heading to public markets through a merger with FG Imperii Acquisition Corp. (Nasdaq: FGII), a special purpose acquisition company. The deal values tZERO at $350 million before new capital, with part of that payout tied to derivatives approvals from the CFTC. The merger agreement is dated Oct. 31, according to a Form 8-K FG Imperii filed with the SEC on Nov. 2, the day the companies announced the deal.
The combined company is expected to trade on NYSE American under the ticker TZRO. Existing tZERO shareholders roll all of their equity into it, and Alan Konevsky is expected to remain CEO.
Deal terms and the derivatives earnout
Stock consideration totals $325 million, paid in FG Imperii Class A shares at $10.00 each. A further 2.5 million shares, about $25 million at the deal price, go into escrow at closing and are released only if milestones are met.
Half of that escrow, 1.25 million shares or roughly $12.5 million, is tied to derivatives. Release requires one of three outcomes within four years of closing: CFTC approval of pending applications, commercial launch of regulated crypto derivatives or event-contract trading by tZERO's introducing broker, or a qualifying license or partnership deal for its derivatives or clearing platform. The other 1.25 million shares require positive adjusted EBITDA in two separate three-month stretches in the first year after closing.
tZERO is a CFTC-registered introducing broker and derivatives clearing organization (DCO). The CFTC approved the DCO registration in October, a step tZERO announced as opening a new derivatives market infrastructure vertical. Its application to become a designated contract market (DCM) has not been granted.
"We have talked about the next phase of tZERO's evolution requiring a more independent footprint. This transaction delivers that objective, unlocks growth paths and strengthens our ability to scale market infrastructure required for an increasingly tokenized financial system,"
Alan Konevsky, tZERO CEO
Funding and approvals
FG Imperii holds up to about $231 million in trust, a ceiling that shrinks with shareholder redemptions and deal expenses. FG Merchant Partners LP, an affiliate of Fundamental Global, signed a term sheet for a forward purchase of up to 2.5 million shares, but definitive documents are not signed. An FG Imperii affiliate also contributed to tZERO's earlier funding round, in an undisclosed amount.
Both boards approved the deal unanimously, and holders of about 62% of tZERO's fully diluted capital signed support agreements.
Closing is expected in early 2027, subject to shareholder votes at both companies, an effective S-4 registration statement, expiry of the Hart-Scott-Rodino antitrust waiting period and listing approval. Either side can walk away if the deal has not closed by March 15, 2027. FG Imperii also plans to move its incorporation from the Cayman Islands to Texas.
"tZERO combines differentiated technology, hard-to-replicate regulatory infrastructure and years of operating experience in digital securities."
Larry Swets, FG Imperii CEO
Context
Founded in 2014, tZERO offers SEC-registered brokerage, alternative trading system and transfer agent services, plus custody and settlement. Intercontinental Exchange (ICE) is among its investors. In August, tZERO announced an agreement with ICE to collaborate on tokenized securities infrastructure, including licensing of its portfolio of more than 100 blockchain patents. ICE also picked it as a design partner for the NYSE blockchain-based securities trading platform.
The listing path comes as institutional plumbing for tokenization builds out. In September tZERO made Goldman Sachs' Treasury money market fund available on its Lynq settlement network, and late last month the DTCC switched on its tokenized securities service for 20 clients. Citi has estimated the tokenized securities market could reach $5.5 trillion by 2030.
For investors, the structure ties part of the valuation to regulatory and operating outcomes. Up to $25 million of the $350 million figure depends on milestones, half of them derivatives approvals or launches, while the DCM application remains pending and the trust cash is exposed to redemptions.
