MoonPay announced Wednesday it will acquire North Capital, an SEC-registered broker-dealer, in an all-stock deal valued at $60 million, giving the crypto payments company direct access to regulated trading and investment infrastructure as it pushes into the tokenized securities market.

The transaction brings MoonPay a fully licensed broker-dealer under the SEC's oversight, a credential that typically takes years and significant compliance overhead to build from scratch. North Capital's existing registration covers trading and investment services, meaning MoonPay inherits both the regulatory standing and the operational plumbing to serve institutional clients looking to move between traditional securities and on-chain assets. No cash changes hands: the entire $60 million consideration is structured in MoonPay stock.

Tokenized securities, which represent ownership of real-world assets like equities, bonds, or funds as blockchain tokens, have moved from whitepaper concept to live market in the past two years. Firms including BlackRock and Franklin Templeton have already launched tokenized fund products on public blockchains, and the infrastructure layer is now where competition is intensifying. By owning a broker-dealer rather than partnering with one, MoonPay can offer end-to-end settlement services without routing clients through a third party, reducing both cost and counterparty friction. The move mirrors the broader industry push toward regulatory compliance that has also seen a16z and the DeFi Education Fund petition the SEC to clarify registration requirements for decentralized exchanges, as crypto-native firms increasingly seek to engage regulators rather than route around them.

The all-stock structure deserves scrutiny. Paying entirely in equity preserves MoonPay's cash reserves and signals confidence in its own valuation, but it also means existing shareholders absorb dilution whose magnitude depends on how MoonPay's shares are priced at closing. Integration risk is real: folding a traditional broker-dealer, with its compliance culture, FINRA reporting obligations, and suitability requirements, into a crypto-native payments platform involves more than a technology migration. Cultural misalignment between fast-moving crypto product teams and compliance-heavy securities operations has derailed similar deals before.

Still, the strategic logic is compelling. MoonPay's core business, fiat-to-crypto on-ramps, is a competitive and margin-compressed segment. Adding regulated securities infrastructure opens a higher-margin institutional channel and positions the company to capture flows from asset managers, family offices, and corporate treasuries that want tokenized exposure but require a SEC-regulated counterparty to do it. Demand for that kind of regulated bridge is growing: recent Visa research found that stablecoin adoption intent among consumers jumps 20 percentage points when bank-level protections are in place, a signal that regulatory credibility meaningfully shifts institutional and retail behavior alike.

At $60 million, the price tag is modest relative to what a de novo broker-dealer license build-out would cost in time and legal fees, let alone the opportunity cost of waiting. Whether North Capital's book of business and client relationships justify that specific multiple will become clearer after closing, but the strategic asset being purchased is the license itself. In a market where regulatory standing is increasingly the scarce resource, MoonPay just bought one.
