France’s Sequans Embraces Bitcoin to Reinvent Corporate Resilience with $384M Crypto Push

Sequans raises $384M to build a Bitcoin treasury, joining public firms using BTC to boost financial resilience.

Sequans Communications, a French developer of 5G and IoT semiconductors, has unveiled a $384 million initiative to establish a corporate Bitcoin treasury, marking one of the most ambitious crypto treasury moves by a European tech firm. The capital raise includes $195 million in equity securities and $189 million in convertible secured notes, with proceeds earmarked to build a substantial Bitcoin position while sustaining the company’s core operations.

CEO Georges Karam emphasized the strategic rationale: “Our Bitcoin treasury strategy reflects our strong conviction in Bitcoin as a premier asset and a compelling long-term investment. We believe Bitcoin’s unique characteristics will enhance our financial resilience and deliver significant value to our shareholders.”

To support its crypto initiative, Sequans has partnered with Swan Bitcoin, a U.S.-based firm specializing in Bitcoin custody, institutional liquidity, and long-term strategy. Swan will advise Sequans on technical implementation, storage security, and acquisition pacing.

Despite its crypto ambitions, the company remains committed to its existing technology roadmap. “We continue to support our customers with a robust 4G and 5G product roadmap, delivering innovative IoT solutions,” Karam added.

The fundraising involves issuing over 1.39 billion ordinary shares and warrants as part of the equity component, alongside debt-linked warrants. The offering is expected to close by July 1, pending shareholder approval at a June 30 vote.

Placement agents for the deal include Northland Capital Markets, B. Riley Securities, and Yorkville Securities. Legal representation is provided by Lowenstein Sandler LLP in the U.S. and ARCHERS in France, with Goodwin Procter LLP advising the agents.

Though Sequans currently holds a market capitalization near $40 million, its move into Bitcoin aligns it with growing corporate trends. Firms like MicroStrategy and Semler Scientific have drawn global attention by integrating Bitcoin into treasury operations. Sequans now joins this cohort, betting that digital assets can provide stability in an evolving financial landscape.

Following the announcement, Sequans’ stock (NYSE: SQNS) fell 12% to $1.62, a typical market reaction to large equity dilution. Nonetheless, the initiative could reshape investor perceptions as Bitcoin becomes an increasingly institutional asset.
